These terms of use set out the terms and conditions of use of the website "artplayer.tv" (collectively, including all content and functionality available through the artplayer.tv website, the "website"), published by artplayer.tv. By accessing/visiting or using the website (whether you are a registered user or unregistered user), either an individual or a single entity ("you" or "your" as applicable), you expressly and unconditionally agree to the terms and all other policies of artplayer.tv, (including but not limited to, artplayer.tv privacy policy). artplayer.tv does not claim ownership rights in any digital content contained in your channel. artplayer.tv is for the sole purpose of enabling us to display your digital content through the service and fulfilling any orders for you or those with which you have shared your content, you grant to artplayer.tv a non-exclusive, royalty-free license to use, copy, distribute, and display that digital content.

artplayer.tv does not control the content of members' channels and does not have any obligation to monitor such content for any purpose. You acknowledge that you are solely responsible for all content and activity that occurs on your user account.

artplayer.tv is primarily a video sharing website. In addition however it will, from time to time, contact you regarding content you have provided as part of your "channel" with the express purpose of deploying your content in whole in or in part for the creation of a feature promotional video sequence that will appear on the home page of the artplayer.tv website and other video sharing platforms including web-enhanced versions, mobile and personal digital assistant (pda) devices. The purpose of the deployment of said content would be only for the generation of promotional material and is not for profit making purposes or to create financial gain for artplayer.tv.

1. Description of the Website

ARTPLAYER.TV is a free video sharing website that enables users to view, access, upload, share and comment personal videos. In accordance with internet practice and custom, advertisements may be incorporated into the Website.

2. Your Intellectual Property Rights

If you have registered and have an ARTPLAYER.TV account pursuant to which you post video files you create, including your comments on videos, your nickname and your avatar ("Your Content") ARTPLAYER.TV does not own Your Content. By making Your Content accessible to other users (as individuals and/or as a group), you agree to allow any users of the Website - free of charge and for personal use only - to view and transmit Your Content on or through the Website and any other electronic communication media or technology, now known or later developed, for the entire period in which Your Content is posted on the Website. Please note that due to the nature of the Internet and digital media, data transmitted including Your Content cannot be protected against the risks of misappropriation and/or piracy, for which ARTPLAYER.TV shall not be liable. You are responsible for taking all appropriate steps to protect your data, where applicable. In addition, for the entire period in which Your Content is posted, you grant ARTPLAYER.TV the non-exclusive, royalty free right and license to reproduce and display Your Content, in whole or in part, and to display, perform, distribute and transmit the same via the features that enable the Website to be accessed both on the Internet and through any other electronic communication media or technology, now known or later developed, and to adjust the format of Your Content as necessary for the purposes of reproduction, display and transmission.

3. Our Intellectual Property Rights

The content (other than Your Content and other users' content) included on or accessible through the Website, such as text, graphics, logos, names, designations, button icons, features, functionalities, images, audio clips, information, data, photographs, graphs, videos, typefaces, graphics, music, sounds, and other material and software (the "ARTPLAYER.TV Content"), is the exclusive property of ARTPLAYER.TV and its licensors and is protected by copyrights, trademarks, trade secrets, or other proprietary rights and subject to applicable laws and regulations. We grant you a personal, non-exclusive, non-transferable and revocable right to access and use the Website, which right is conditioned on your compliance with the Terms.

4. Our Liability As Host

We are under no legal obligation to monitor content transmitted via or posted on the Website. Our only obligations as host concern (i) the fight against certain content in accordance with the procedure described in the Prohibited Content section, (ii) the retention of your connection data, which is subject to our policies on Personal Data, and (iii) the removal of all clearly illegal content which has been effectively brought to our attention.

5. Copyright Notifications

ARTPLAYER.TV does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and will remove content uploaded by users (including on your ÒChannelÓ), if properly notified that such content infringes on another's intellectual property rights. ARTPLAYER.TV reserves the right also to terminate a user's account, if they are determined to be a repeat infringer.

6. Indemnification

You agree and shall indemnify and hold ARTPLAYER.TV harmless from and against any liability, loss, damages (including punitive damages), claim, settlement payment, cost and expense, interest, award, judgment, diminution in value, fine, fee (including reasonable legal costs), and penalty, or other charge (including reasonable legal fees and all other cost of investigating, defending or asserting any claim for indemnification under these Terms) arising from or relating to (i) Your Content, (ii) your violation of the Terms or any other policy of ARTPLAYER.TV; (iii) your use of the Website; and (iv) your violation of any third party rights, including without limitation any copyright, property, publicity or privacy rights.

7. Links

As a convenience to you, the Website may contain links to websites operated by other entities (a "Linked Site"). If you decide to visit any Linked Site, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements. ARTPLAYER.TV has no responsibility to you with respect to any Linked Site and no Linked Site, regardless of the linking form being maintained, controlled, endorsed, monitored or otherwise governed by ARTPLAYER.TV.

8. Amendments | Revisions

ARTPLAYER.TV may amend or revise the Terms or any other policy of ARTPLAYER.TV at any time and you agree to be bound by such revised Terms or policy. Any such amendment or revisions will become effective upon the date it is first posted to this site. It is your responsibility to return to the Website from time to time to review the most current Terms and other ARTPLAYER.TV policies. ARTPLAYER.TV does not and will not assume any obligation to notify you of changes to the Terms or any other policy of ARTPLAYER.TV.

9. Password

When you register as a member you will be asked to provide a password. As you will be responsible for all activities that occur under your password, you should keep your password confidential. You must notify ARTPLAYER.TV immediately of any unauthorized use of your password or if you believe that your password is no longer confidential. We reserve the right to require you to alter your password if we believe that your password is no longer secure.

10. Storage Policy

ARTPLAYER.TV provides online storage of content to its members for up to 2 Gigabytes per single file. There are currently no limits to maximum number of video files that may be uploaded onto the ARTPLAYER.TV website. If your account becomes inactive for a period of 24 months, ARTPLAYER.TV may, at its option, terminate access to the account altogether (including deletion of any account information held by ARTPLAYER.TV). ARTPLAYER.TV may change this policy at any time, upon reasonable notice to you.

11. Data Retrieval

There may be a third party charge to retrieve original uploaded video files as and when requested. ARTPLAYER.TV reserve the right to pass on this charge to whomsoever makes the request on the proviso that that person or persons hold the rights to the content requested and ARTPLAYER.TV may, at its discretion, include a charge for data handling to provide this service. Costs for this service are subject to change without notice, though costs will be confirmed and approved by the requesting person or persons before any action or service provision is undertaken by ARTPLAYER.TV.

12. Entire Agreement

These Terms constitute a summary of the full agreement between ARTPLAYER.TV and you with respect the Website. A printed and electronic version of the full Terms are available on request.
